Terms of Use

Important: These Terms govern your practice's access to and use of the Smileframe platform. By activating a subscription or allowing any staff member to access Smileframe, you agree to these Terms on behalf of your practice.

1. About Smileframe

Smileframe is a clinical visualization tool designed for dental and oral surgery practices. It generates photorealistic smile simulations from patient photographs to support chairside consultations. Smileframe is operated by Smileframe, Inc. ("we," "us," or "our").

Smileframe is a tool to assist clinical conversations. It does not provide medical or dental advice, does not constitute a diagnosis, and does not replace the clinical judgment of a licensed practitioner. All outputs must be reviewed and approved by a licensed dental professional before being shown to any patient.

2. Who Can Use Smileframe

Smileframe is available exclusively to licensed dental practices, oral surgery practices, and similar clinical organizations ("Practices"). Individual users ("Authorized Users") access Smileframe under a subscription held by a Practice.

You may not use Smileframe if your Practice is not in good standing with applicable licensing authorities, or if you are using the platform for any purpose other than supporting dental or oral surgery consultations.

You are responsible for all activity that occurs under your Practice's account, including actions taken by your Authorized Users.

3. Subscriptions and Access

Access to Smileframe requires an active subscription. We offer subscription tiers as published on our website from time to time. Subscription terms, pricing, and included usage are set out in your Order Form or at the time of signup.

We reserve the right to modify subscription pricing with 30 days' written notice. Continued use of Smileframe after the notice period constitutes acceptance of the updated pricing.

We may suspend or terminate access if payment obligations are not met, if these Terms are violated, or if we reasonably believe continued access poses a risk to patient safety or data security.

4. Patient Data and HIPAA

Smileframe processes facial photographs and related consultation data that may qualify as protected health information (PHI) under the Health Insurance Portability and Accountability Act (HIPAA).

Before using Smileframe with any patient data, your Practice must:

  • Execute a Business Associate Agreement (BAA) with Smileframe, Inc. We will not activate a subscription for clinical use without a signed BAA on file.
  • Obtain appropriate written patient authorization or consent for photographing the patient and using those photographs in an AI-based visualization tool. Your Practice is responsible for ensuring consent forms meet applicable state and federal requirements.
  • Ensure that only Authorized Users with appropriate role permissions access patient data within Smileframe.

Smileframe does not store full patient names or other direct identifiers in the platform. Patient records use display names or initials only. Practices must not enter full patient names, social security numbers, dates of birth, or other PII beyond what is operationally necessary in any free-text field.

5. AI-Generated Outputs

Smileframe generates smile visualizations using AI. These outputs are simulations only. They do not predict, guarantee, or represent the actual outcome of any dental procedure.

Every AI-generated output must be reviewed and explicitly approved by a licensed dental professional before being shown to or shared with any patient. Your Practice is responsible for ensuring this review occurs without exception.

AI outputs must be accompanied by the disclaimer text provided within Smileframe when presented to patients. You may not remove, hide, or modify this disclaimer.

We make no warranty that AI outputs will be accurate, complete, or suitable for any clinical purpose. Outputs may contain errors, artifacts, or unrealistic representations. Your Practice's clinical judgment governs.

6. Data Retention and Deletion

Patient photographs and AI-generated output images are automatically deleted from Smileframe's storage systems seven (7) days after the associated consultation record is created. This deletion is enforced at the infrastructure level and is not reversible.

Consultation metadata (non-image records) is retained for the duration of your active subscription and deleted within 30 days of subscription termination.

Audit logs are retained for a minimum of six (6) years to support HIPAA compliance obligations.

If your Practice requires a longer or shorter image retention period for clinical or regulatory reasons, contact us before deploying Smileframe in your workflow.

7. Acceptable Use

You agree not to:

  • Use Smileframe for any purpose other than supporting legitimate dental or oral surgery consultations.
  • Upload photographs of individuals who have not provided appropriate consent.
  • Attempt to re-identify de-identified data or circumvent any privacy protection built into the platform.
  • Use AI outputs in any marketing, advertising, or external-facing materials without a separate written agreement with us.
  • Share login credentials between Authorized Users. Each user must have their own account.
  • Attempt to access, probe, or test the security of Smileframe's systems or infrastructure.
  • Reverse engineer, copy, or create derivative works from any part of the Smileframe platform.
  • Input any data not directly related to the patient consultation workflow (e.g., no test uploads using public celebrity images, stock photography, or images of minors).

We reserve the right to investigate and take action if we believe these restrictions have been violated, including suspending access without notice in cases involving potential harm to patients.

8. Intellectual Property

Smileframe, Inc. owns all rights in the Smileframe platform, including its software, models, interfaces, and underlying technology. These Terms do not transfer any ownership rights to your Practice.

Your Practice retains ownership of photographs and other content you submit to Smileframe. By submitting content, you grant us a limited, non-exclusive license to process that content solely for the purpose of delivering the Smileframe service to you.

AI-generated outputs produced by Smileframe from your Practice's submitted photographs are licensed to your Practice for internal clinical use only, subject to these Terms.

9. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party that is reasonably understood to be confidential, and to use such information only to fulfill obligations under these Terms.

This obligation does not apply to information that: (a) is or becomes publicly known through no breach of this agreement, (b) was already known to the receiving party, (c) is received from a third party without restriction, or (d) is independently developed by the receiving party.

10. Disclaimer of Warranties

Smileframe is provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that Smileframe will be uninterrupted, error-free, or free of security vulnerabilities. We do not warrant the accuracy, completeness, or clinical reliability of any AI-generated output.

11. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.

Our total aggregate liability arising from or relating to these Terms will not exceed the total fees paid by your Practice to us in the twelve (12) months preceding the claim.

These limitations do not apply to liability arising from: (a) your Practice's breach of the patient consent obligations in Section 4, (b) a party's gross negligence or willful misconduct, or (c) indemnification obligations under these Terms.

12. Indemnification

Your Practice agrees to indemnify and hold harmless Smileframe, Inc. and its employees, contractors, and officers from any claims, damages, or costs (including reasonable legal fees) arising from: (a) your Practice's use of Smileframe in violation of these Terms, (b) your failure to obtain required patient consents, (c) your Practice's clinical decisions made in connection with AI outputs, or (d) your violation of applicable law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect. Continued use of Smileframe after the effective date of updated Terms constitutes acceptance.

For changes required by law or to address security vulnerabilities, we may update Terms with shorter or no notice.

14. Termination

Either party may terminate these Terms upon 30 days' written notice. We may terminate immediately for material breach, non-payment, or if we reasonably believe continued operation poses risk to patient safety.

On termination: (a) your access to Smileframe ends, (b) any remaining stored images are deleted per the data lifecycle described in Section 6, and (c) each party will return or certifiably destroy the other's confidential information on request.

Sections 5, 8, 10, 11, 12, and 15 survive termination.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute that cannot be resolved informally will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.
